When using our website and services, you agree to:

• Only upload conversation data that you own or have legal right to process
• Ensure that uploaded data does not violate any third-party privacy rights
• Use the service only for personal, non-commercial purposes
• Maintain the security and confidentiality of your account credentials
• Be responsible for all activity that occurs under your account

You agree not to:

• Violate any applicable laws or regulations
• Upload data containing illegal, harmful, or offensive content
• Attempt to gain unauthorized access to our systems or other users' data
• Engage in any activity that disrupts or interferes with our services
• Use our services to process data you do not have permission to use
• Share your MCP connections or account access with unauthorized parties
• Attempt to reverse engineer or circumvent our AI processing systems
• Upload excessive amounts of data beyond reasonable personal use

Data Processing Acknowledgments: By using our services, you acknowledge and agree that:

• AI memory extraction may produce inaccurate, incomplete, or misinterpreted results
• Entity recognition may incorrectly identify or categorize people, places, or concepts
• Episodic memory summaries may miss important context or focus on irrelevant details
• Processing accuracy depends on the quality and structure of your source data
• You are responsible for reviewing and validating any AI-generated insights or memories
• We do not guarantee the accuracy, completeness, or usefulness of extracted memories

User Responsibility for Data: You are solely responsible for:

• The accuracy and legality of data you upload to our platform
• Ensuring you have permission to process all uploaded conversation data
• Reviewing and validating AI-extracted memories and insights
• Any decisions made based on AI analysis of your data
• Managing and securing your personal knowledge base

5. MCP Integration and External Access

Model Context Protocol (MCP) Integration: Context AI supports integration with Claude Desktop and Web applications through MCP. By using this feature:

• You authorize secure sharing of your data with connected Claude applications
• Your data remains scoped to your account and is not accessible to other users
• Connected applications operate under their own terms of service and privacy policies
• You can revoke MCP access at any time through your account settings
• We are not responsible for how connected applications use or handle your data

Third-Party Application Responsibility: When you connect Context AI to external applications:

• Those applications have their own terms of service and privacy policies
• We cannot control how external applications process or store your data
• You are responsible for understanding and agreeing to external application terms
• We are not liable for any issues arising from third-party application use

6. Beta Service Limitations

Beta Service Notice: Context AI is currently in beta testing. Current limitations include:

• Processing limited to the first 10 conversations from ChatGPT exports
• Features may be incomplete, unstable, or subject to change
• Service availability may be inconsistent
• Data processing may take longer than indicated
• Not all planned features are currently available

By using our beta service, you acknowledge that the service may contain bugs, errors, or incomplete features and is provided "as is" during the beta period.

8. Intellectual Property

All content on the Context AI website and application, including but not limited to text, graphics, logos, images, and software, is the property of Soul AI LLC or its content suppliers and is protected by international copyright laws.

Your Data Ownership: You retain ownership of all conversation data, documents, and personal information you upload to our platform. However, by using our services, you grant us a limited license to process, analyze, and store your data as necessary to provide our services.

Extracted Memories: AI-extracted memories, insights, and analyses are created through automated processing. While derived from your data, these may not be eligible for copyright protection due to their AI-generated nature.

9. Limitation of Liability

AI PROCESSING LIABILITY: SOUL AI LLC SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR HARM ARISING FROM:

• Inaccuracies, errors, or misinterpretations in AI processing of your data
• Incomplete or incorrect memory extraction from your conversations
• Entity recognition errors or misidentification of people, places, or concepts
• Lost or corrupted conversation data or extracted memories
• Decisions made based on AI-generated insights or recommendations
• Privacy implications of data processing or memory extraction
• Technical failures affecting data processing or memory extraction

MCP INTEGRATION LIABILITY: SOUL AI LLC SHALL NOT BE LIABLE FOR:

• How external applications (like Claude) use or process your data
• Data breaches or security issues in connected third-party applications
• Service interruptions or failures in MCP connections
• Privacy violations by connected external applications
• Changes to third-party application terms or policies

PERSONAL DATA LIABILITY: SOUL AI LLC SHALL NOT BE LIABLE FOR:

• Consequences arising from processing of sensitive personal conversation data
• Emotional distress caused by AI analysis or memory extraction results
• Privacy violations resulting from data you upload or share
• Misuse of your data by unauthorized parties
• Data loss or corruption affecting your personal conversation archives

MAXIMUM LIABILITY: NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SOUL AI LLC'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

10. Indemnification

You agree to defend, indemnify, and hold harmless SOUL AI LLC, including its subsidiaries, affiliates, and all of their respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of:

• Your use of the Services and any data you upload or process
• Breach of these Legal Terms
• Any breach of your representations and warranties set forth in these Legal Terms
• Your violation of the rights of a third party, including but not limited to privacy rights
• Any claims arising from your conversation data or extracted memories
• Misuse of MCP integrations or connected external applications
• Any decisions made based on AI-generated insights or recommendations
• Processing of conversation data you do not have permission to use
• Any harm to third parties resulting from your use of our services

11. Service Availability and Performance

We strive to provide reliable service but cannot guarantee:

• Uninterrupted availability of our services
• Consistent performance of AI processing or memory extraction
• Accuracy or completeness of AI-generated memories and insights
• Successful processing of all conversation data formats
• Continuous availability of MCP integrations
• Compatibility with all devices, browsers, or data formats

12. Data Security and Backup

Security Measures: While we implement industry-standard security measures, we cannot guarantee absolute security of your data. You acknowledge that:

• No system is completely secure from all potential threats
• You are responsible for maintaining the security of your account credentials
• You should maintain your own backups of important conversation data
• We may need to process your data to provide our services

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.

14. Changes to Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates.

15. Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the Services to any person for any reason or for no reason, including without limitation for breach of any representation, warranty, or covenant contained in these Legal Terms or of any applicable law or regulation.

Upon termination, your right to use the Services will cease immediately. We will delete your personal data according to our data retention policy, but you remain responsible for any claims arising from your use of the Services prior to termination.

16. Future Service Expansion

Planned Features: Context AI plans to expand to include additional data sources such as:

• Email archives (Gmail, Outlook, etc.)
• Document uploads (PDFs, notes, files)
• Additional conversation platforms

These future features will be subject to these terms and any additional terms we may provide. We reserve the right to modify, delay, or cancel planned features without notice.
